Terms of Service

Maxuod Shift is a workforce scheduling and team management platform for small businesses. It includes tools for employee scheduling, shift management, time tracking, payroll estimation, tip calculation, and related reporting and export features.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice where possible.

To access saved data and full features, you must create an account with a valid email address. You are responsible for:

• keeping your login credentials confidential;
• all activity that occurs under your account;
• promptly notifying us of any unauthorized access at support@maxuodshift.com.

You must be at least 18 years old to create an account. Accounts may not be transferred without our written consent.

You agree not to:

• use the service for any unlawful purpose or in violation of applicable laws;
• attempt to gain unauthorized access to any part of the service or its infrastructure;
• interfere with or disrupt the integrity or performance of the service;
• scrape, crawl, or extract data from the service using automated means without our written permission;
• upload or transmit malicious code, viruses, or harmful content;
• impersonate another person or organization;
• use the service to store or transmit content that is illegal, harassing, or harmful.

We reserve the right to suspend or terminate accounts that violate these rules.

You retain ownership of all data you input into Maxuod Shift, including employee records, schedule data, and tip entries (“Customer Data”).

By using the service, you grant us a limited license to process and store your Customer Data solely to provide and improve the service, as described in our Privacy Policy.

You are responsible for ensuring you have the right to upload and process any personal information of your employees or team members using the service.

On account closure, we will retain data for the periods described in our Privacy Policy, after which it will be deleted or anonymized.

Maxuod Shift is currently offered free of charge for all core features. We may introduce paid plans in the future. If we do, we will:

• give you reasonable advance notice of any charges;
• obtain your explicit agreement before charging you;
• provide clear pricing information before you commit to any paid plan.

Using the free service does not obligate you to purchase any paid plan.

All software, design, content, logos, and materials comprising Maxuod Shift — excluding your Customer Data — are owned by or licensed to Maxuod Digital. Nothing in these Terms transfers any intellectual property rights to you.

You may not copy, reproduce, modify, distribute, or create derivative works from any part of the service without our written permission.

Our Privacy Policy is incorporated into these Terms by reference. By using Maxuod Shift, you acknowledge and agree to our Privacy Policy.

The service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the service will be error-free, uninterrupted, or completely secure. Payroll and tip calculations are estimates based on the data you provide — they are not a substitute for professional payroll, legal, or financial advice.

To the fullest extent permitted by applicable law, Maxuod Digital will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or the service will not exceed the greater of the amount you paid us in the past 12 months or $100 CAD.

You may stop using the service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, with or without notice depending on the severity of the violation.

On termination, your right to use the service ends immediately. Provisions that by their nature should survive termination — including intellectual property, disclaimers, and limitations of liability — will survive.

We may update these Terms from time to time. When we do, we will post the updated version on this page with a new effective date. Your continued use of the service after changes are posted constitutes your acceptance of the updated Terms.

For material changes, we will make reasonable efforts to notify you by email or via a notice in the service.

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of Ontario, unless otherwise required by applicable consumer protection laws in your jurisdiction.
